Terms of Service

1. Acceptance of Terms

By creating an account and using ATELIER's marketplace platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Commission Structure

2.1 Platform Commission: ATELIER charges a commission of 20% (twenty percent) on all sales made through your store. This commission is automatically calculated on each transaction.

2.2 Commission Changes: We reserve the right to adjust commission rates for individual stores at our discretion. Any changes to your commission rate will be communicated to you via email at least 30 days in advance.

2.3 Payment Processing: All payments are processed through our payment partners (Stripe, PayPal). The commission is deducted before funds are transferred to your account.

3. Account Management

3.1 Account Creation: You must provide accurate, complete, and current information when creating your store account.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials.

3.3 Account Termination: We reserve the right to suspend or terminate your account at any time, for any reason, without prior notice. This includes but is not limited to violations of these Terms, fraudulent activity, or at our sole discretion.

4. Content and Ownership

4.1 Your Content: You retain all rights to the artwork and content you upload. By using our Service, you grant ATELIER a non-exclusive license to display, reproduce, and distribute your content for the purpose of operating the marketplace.

4.2 Prohibited Content: You may not upload content that is illegal, infringes on intellectual property rights, is defamatory, obscene, or violates any applicable laws.

4.3 Content Removal: We reserve the right to remove any content that violates these Terms or is deemed inappropriate at our sole discretion.

5. Seller Obligations

5.1 Accurate Listings: You must provide accurate descriptions, pricing, and images of your artwork.

5.2 Order Fulfillment: You are responsible for fulfilling orders in a timely manner and providing accurate shipping information.

5.3 Customer Service: You are responsible for handling customer inquiries, returns, and disputes related to your sales.

5.4 Taxes: You are responsible for all applicable taxes, including sales tax, VAT, and income tax related to your sales.

6. Limitation of Liability

6.1 Service "As Is": The Service is provided "as is" without warranties of any kind, either express or implied.

6.2 No Liability: ATELIER shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

6.3 Maximum Liability: Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount of commissions we collected from you in the six months prior to the claim.

7. Indemnification

You agree to indemnify and hold harmless ATELIER, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service
• Transactions between you and buyers

8. Dispute Resolution

8.1 Disputes Between Users: ATELIER is not responsible for disputes between sellers and buyers. You agree to handle such disputes directly.

8.2 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

10. Termination of Service

10.1 By You: You may terminate your account at any time by contacting us.

10.2 By Us: We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

10.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. Any outstanding commissions owed will still be payable.
